Fundamental Approach
Objective
PEW has established a corporate governance system incorporating the three concepts of "business execution," "control," and "supervision" to maximize enterprise value. The system has been created in accordance with the Regulations of the Board of Directors, Director Regulations, Corporate Executive Officer Regulations, and their related provisions, as determined by the Company's Articles of Incorporation and Board of Directors.
System
The Company's Board of Directors is made up of a maximum of 15 members who are responsible for setting the course for and supervising business execution.
Based on operational policy determined by the Board of Directors, directors with executive authority and corporate executive officers (hereinafter, senior managers with executive authority) are responsible for business execution under the direct authority of the president. Aiming to ensure trust and integrity in all of PEW's operations, the Company has also appointed a director responsible for CSRM*. This director carries out control activities related to all of the Group's operations.
Outside directors are responsible for monitoring these activities from an independent perspective, ensuring they are conducted in an effective and appropriate legal manner.
Corporate auditors, in accordance with relevant laws and regulations, as well as with the Regulations of the Board of Corporate Auditors and Auditing Standards determined by the Board of Corporate Auditors, also independently monitor the appropriateness of PEW's operational activities.
PEW's corporate governance system ensures greater effectiveness by integrating the elements of "business execution," "control," and "supervision." The system is overseen by meetings of the CSR & Corporate Governance Council, comprising the president, CSRM director, outside directors, and corporate auditors.
While respecting the autonomous responsible management of group companies, we work to ensure that they fully internalize the Panasonic Electric Works Group management philosophy and management policy in order to guarantee their appropriate and efficient operation as Group members.
